These Vendor/Seller Terms & Conditions (the “Terms”) govern the relationship between Abikol (referred to as “Abikol“, “we”, “us”, or “our”) and any individual or entity (referred to as “Vendor”, “Seller”, or “you”) who offers or sells products or services through our platform, website, application, or other channels (collectively, the “Platform”). By registering as a Vendor/Seller on our Platform or by offering products or services through our Platform, you agree to be bound by these Terms.
1. Account Registration and Eligibility
1.1. Registration: To become a Vendor/Seller, you must accurately complete our registration process and provide all required information. You are responsible for maintaining the accuracy and completeness of your account information.
1.2. Eligibility: You represent and warrant that you have the legal capacity and authority to enter into these Terms and to offer and sell the products or services you list on our Platform. If you are registering on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.
1.3. Account Security: You are responsible for maintaining the confidentiality of your account credentials (username and password) and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access to or use of your account.
2. Product/Service Listings and Content
2.1. Accuracy of Listings: You are solely responsible for the accuracy, completeness, and legality of all product/service descriptions, images, pricing, shipping information, warranties, and any other content you provide on our Platform (collectively, “Listings”). You warrant that your Listings are not misleading, deceptive, or in violation of any applicable laws or regulations.
2.2. Intellectual Property: You represent and warrant that you have all necessary rights and permissions to use any intellectual property (including trademarks, copyrights, and patents) associated with your Listings. You grant us a non-exclusive, royalty-free, worldwide license to use, display, and reproduce your Listings on our Platform and in our marketing materials.
2.3. Prohibited Items/Services: You agree not to list or offer any products or services that are illegal, dangerous, infringing, or otherwise prohibited by our policies, which may be updated from time to time.
2.4. Pricing: You are responsible for setting and maintaining accurate prices for your products/services. You agree to honor the prices displayed in your Listings.
3. Transactions and Payments
3.1. Order Processing: You are responsible for processing orders placed by users through our Platform, including fulfillment, packaging, and shipping (if applicable), in a timely and professional manner according to the agreed-upon terms in your Listings.
3.2. Payment Processing: Payments for products/services sold through our Platform will be processed by [Specify Payment Gateway/Method]. You agree to abide by the terms and conditions of our payment processor.
3.3. Fees and Commissions: We reserve the right to charge fees or commissions on sales made through our Platform, as outlined in our separate Fee Schedule, which may be updated from time to time. You agree to pay all applicable fees and commissions.
3.4. Taxes: You are solely responsible for determining, collecting, reporting, and remitting any applicable sales taxes, value-added taxes (VAT), or other taxes arising from your transactions with users on our Platform.
3.5. Refunds and Returns: You agree to establish and clearly communicate your refund and return policies to users. You are responsible for processing returns and issuing refunds in accordance with your stated policies and applicable laws. We may facilitate the refund process according to our policies.
4. Shipping and Delivery (if applicable)
4.1. Shipping Responsibility: If you are responsible for shipping, you agree to ship products in a timely and secure manner, using reputable shipping carriers. You are responsible for providing accurate shipping information and tracking details to users.
4.2. Shipping Costs: You are responsible for clearly stating your shipping costs in your Listings.
4.3. Delivery Issues: You are responsible for resolving any shipping or delivery issues directly with the user.
5. User Interactions and Support
5.1. Customer Service: You are responsible for providing customer service and support to users regarding their purchases from you, including addressing inquiries, complaints, and disputes.
5.2. Communication: You agree to communicate professionally and respectfully with users and with us.
5.3. Dispute Resolution: You agree to cooperate in good faith to resolve any disputes that may arise between you and users. We may, at our discretion, provide assistance in resolving disputes.
6. Intellectual Property of Abikol
6.1. Platform Ownership: The Platform and all its content, features, and functionality (including but not limited to text, graphics, logos, images, software) are owned by Abikol or its licensors and are protected by intellectual property laws.
6.2. Limited License: We grant you a limited, non-exclusive, revocable, non-transferable license to access and use the Platform solely for the purpose of offering and selling your products/services in accordance with these Terms.
6.3. Restrictions: You agree not to reproduce, modify, distribute, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Platform, except as expressly permitted by us in writing.
7. Termination
7.1. Termination by You: You may terminate your Vendor/Seller account at any time by following the account closure procedures on our Platform.
7.2. Termination by Us: We reserve the right to suspend or terminate your Vendor/Seller account and your access to the Platform at any time, with or without cause, and without prior notice. Reasons for termination may include, but are not limited to: * Violation of these Terms or our policies. * Providing false or misleading information. * Engaging in fraudulent or illegal activities. * Receiving excessive negative feedback from users. * Actions that, in our sole discretion, harm our Platform or its users.
7.3. Effect of Termination: Upon termination, your right to offer and sell products/services on our Platform will cease immediately. You will remain responsible for fulfilling any outstanding orders and addressing any pending customer service issues. Any outstanding payments owed to you will be processed in accordance with our payment policies.
8. Disclaimer of Warranties
To the fullest extent permitted by applicable law, our platform is provided on an “as is” and “as available” basis, without any warranties of any kind, express or implied, including but not limited to warranties of Sellerability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade. we do not warrant that the platform will be uninterrupted, error-free, or secure. we disclaim any liability for the conduct of users or other third parties on our platform.
9. Limitation of Liability
To the fullest extent permitted by applicable law, in no event shall Abikol, its affiliates, officers, directors, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages (including, without limitation, damages for loss of profits, goodwill, use, data, or other intangible losses) arising out of or relating to your use of or inability to use our platform, your conduct or the conduct of other users, or these terms, even if we have been advised of the possibility of such damages. Our total liability to you for any claim arising out of or relating to these terms or your use of our platform shall not exceed the total amount of fees paid by you to us in the one (1) month immediately preceding the event giving rise to the claim.
10. Indemnification
You agree to indemnify, defend, and hold harmless Abikol, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your use of the Platform; (b) your Listings, products, or services; (c) your breach of these Terms; (d) your violation of any applicable laws or regulations; or (e) any claims made by users or third parties relating to your products or services.
11. Governing Law and Dispute Resolution
11.1.Governing Law: These Terms shall be governed by and construed in accordance with the laws of Bangladesh, without regard to its conflict of law principles.
11.2. Dispute Resolution: Any dispute arising out of or relating to these Terms shall be resolved through binding arbitration in Bangladesh. You agree to submit to the exclusive jurisdiction of the courts located in Bangladesh for the resolution of any such disputes.
12. Modifications to these Terms
We reserve the right to modify these Terms at any time by posting the updated Terms on our Platform. Your continued use of the Platform after the posting of any changes constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically for any updates or changes.
13. Entire Agreement
These Terms, together with any other policies and guidelines posted on our Platform, constitute the entire agreement between you and Abikol with respect to your use of the Platform as a Vendor/Seller and supersede all prior or contemporaneous communications and proposals, whether oral or written.
14. Severability
If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.
